Under no circumstances shall SomiSomi be liable for any direct, indirect, incidental, special, consequential, punitive, extraordinary, exemplary or other damages whatsoever, that result from any Third Party Services or your contractual relationship with any Third Party Provider. These limitations shall apply even if SomiSomi has been advised of the possibility of such damages. The foregoing limitations shall apply to the fullest extent permitted by Applicable Laws (defined below).

Color Information:
While SomiSomi has tried to accurately display the colors of products, the actual colors you see will depend on your monitor and may not be accurate.

SomiSomi Franchise, Inc. shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, SomiSomi shall issue a credit to your credit card account in the amount of the incorrect price.
Confidential Information:
Please note that any information or material sent to SomiSomi through the Site will be deemed NOT to be confidential. By sending SomiSomi any information or material, you grant SomiSomi an unrestricted, irrevocable, world-wide, royalty free license to use, reproduce, display, perform, modify, transmit, and distribute those materials or information, and you also agree that SomiSomi is free to use any ideas, concepts, know-how, or techniques that you send us for any purpose.

Indemnification:
You agree to defend, indemnify, and hold harmless SomiSomi (and all of its affiliates, parent, direct and indirect subsidiaries) and each of their respective directors, officers, employees, agents, successors, and assigns from and against all losses, liabilities, damages, claims and expenses, including attorneys’ fees, arising out of, relating to, or resulting from your violation of these Terms of Use or misuse of the Services or the Site, including such violation or misuses conducted by your employee or agent. You agree to indemnify and hold harmless (and all of its affiliates, parent, direct and indirect subsidiaries) and each of their respective directors, officers, employees, agents, successors, and assigns from and against any and all claims, demands, actions, causes of action, suits, proceedings, losses, damages, costs, and expenses, including reasonable attorneys’ fees and fees attributable to in house legal personnel, arising from or relating to your provision, or an end user’s use, of your Content, or any act, error, or omission of you in connection therewith, including but not limited to matters relating to incorrect, incomplete, or misleading information; libel; invasion of privacy; infringement of a copyright, trade name, trademark, service mark, or other intellectual property or other right; or violation of any applicable law.
Choice of Law and Venue:
These terms and conditions and any applicable policies are entered into in the State of California and shall be governed by and construed in accordance with the laws of the State of California, exclusive of its choice of law rules. Each party to these terms and conditions and any applicable policies submits to the exclusive jurisdiction of the state and federal courts sitting in the County of Los Angeles in the State of California, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce these terms and any applicable policies, the prevailing party will be entitled to costs and attorney’s fees. In the event that any of the terms of these terms and conditions or any applicable policies are held by a court or other tribunal of competent jurisdiction to be unenforceable, those provisions shall be limited or eliminated to the minimum extent necessary so that these terms and conditions or applicable policies shall otherwise remain in full force and effect.
General Terms:
Your rights and obligations under these Terms may not be assigned or transferred without written permission of SomiSomi. If any provision of these Terms is determined to be invalid, all other provisions will remain in force. Notice or other communication between you, and/or SomiSomi, may be given by conventional first-class mail or by e-mail and are effective on the date received.
Your access to and use of the Services is subject to your continuing compliance with all of the following: (a) the Terms and Use; (b) SomiSomi’s Privacy Policy and other policies and notices to you by SomiSomi; (c) Third Party Service terms and conditions governing any content accessed through the Services that is published or distributed by a third-party website, and (d) Applicable Laws. “Applicable Laws” means all legislation, statutes, regulations, ordinances, rules, judgments, orders, decrees, rulings, and other requirements enacted, promulgated, or imposed by any governmental authority or judicial or regulatory body (including any self-regulatory body) at any level (e.g., municipal, county, provincial, state or national) that are applicable to or enforceable against a party or its personnel in relation to their activities under or pursuant to the Terms and Use.
All the terms and provisions of the Terms of Use shall be binding upon and inure to the benefit of the parties to the Terms of Use and to their respective heirs, successors, permitted assigns and legal representatives. SomiSomi shall be permitted to assign these Terms of Use without notice to you or consent from you. You shall have no right to assign or otherwise transfer the Terms of Use, or any of your rights or obligations hereunder, to any third party without SomiSomi’s prior written consent, to be given or withheld in SomiSomi’s sole discretion.
